These Terms of Use define the framework under which users may access and use the mobile and web application provided by Novadesko SRL (“the Novadesko Application”), as well as all documents, content, videos, information, and materials it contains (“the Information”). They also govern the use of the Novadesko website.
The Novadesko Application and associated Services are intended for individuals who are at least 18 years old, registered with the Crossroads Bank for Enterprises, and using the Application within the scope of their professional activity. In these Terms, such individuals are referred to as “You”, “Your”, or “the User”.

Novadesko operates the Application and Services in compliance with the regulatory obligations applicable in Belgium.
Before creating an account or using the Services, You are invited to read these Terms and Conditions carefully and keep a copy. By installing the Novadesko Application, registering, or accessing the Services, You acknowledge that You are bound by these Terms and Conditions, as amended and updated over time.
The Terms and Conditions are available in French and English. They can be consulted at any time on the website www.novadesko.com and provided on a durable medium upon simple request.
In these Terms of Use, the following terms, when used with a capital letter, have the following meaning:
The Novadesko Application is available on the Web as well as on Android and iOS devices. It provides Users with a set of tools designed to facilitate the administrative, accounting and financial management of their professional activity. Some features are available free of charge, while others require a subscription.

The scope of these features may evolve over time depending on development choices, technical updates or the introduction of new services.
When the Application includes the possibility of using banking services provided by a third-party partner holding the necessary legal authorisations, the opening of an account or access to such services is carried out directly with that partner. The applicable contractual terms are those defined by that provider (see the section “Integrations and Third-Party Providers”).

Certain advanced features require a paid subscription. The Application specifies, for each service, the access conditions as well as any applicable fees and related terms.
When the User uses electronic invoicing features via the Peppol network, Novadesko acts solely as a technical platform for the reception, processing and availability of incoming and outgoing electronic documents, in accordance with the subscription plan in force.
Access to, importation, consultation and download of Peppol documents strictly depend on the subscription plan active at the time such documents are received.
Under the free plan, the number of Peppol documents that may be imported and consulted is limited (for example, a maximum of five (5) documents per monthly period). Once this limit is reached, additional incoming documents may not be accessible, importable or consultable unless the User subscribes to an appropriate paid plan.
Documents received beyond the limits of the free plan are not lost but remain subject to the access conditions of the active subscription. To access all received documents, the User may at any time subscribe to a dedicated paid plan offered by Novadesko.
In the event of a change of Peppol provider or a transfer request, Novadesko does not perform any automatic transfer of documents to a third-party provider. The User remains solely responsible for exporting, backing up and transferring their data, subject to the limitations of the active plan.
The User acknowledges and agrees that the transfer of Peppol documents, as well as any backup, export or data recovery operation, is carried out under their sole responsibility. Novadesko shall not be held liable for any loss of data, transfer failure, service interruption or deletion of documents resulting from a provider change, account termination, voluntary deletion of the User account, or failure by the User to perform a prior backup.
The User further acknowledges that they may modify or terminate their subscription at any time, in accordance with the conditions set out in the Application, without prejudice to amounts due for the elapsed subscription period.
The Novadesko Application may contain various information intended to assist the User in using the Services, including automated indications, general or personalised guidance related to the administrative, accounting or tax management of their activity.
This Information, whether displayed in the Application or on the Novadesko website, is provided for informational purposes only. It does not constitute professional, tax, accounting or legal advice. Any analysis or decision requiring expertise falls under the responsibility of an independent professional advisor chosen by the User.
Novadesko strives to provide content that is as reliable and relevant as possible but does not guarantee the accuracy, completeness or timeliness of the Information displayed. Novadesko accepts no liability for any damage or consequence arising from the use or interpretation of this Information, including in the event of a technical error, missing data or incorrect automated analysis.
If You notice any error or omission, You may contact Novadesko at admin@novadesko.com. However, Novadesko remains free to modify or not modify the affected content.
The Application may also display content originating from third parties or provide links to external websites totally independent of Novadesko. The presence of such links or content is provided for Your convenience and does not constitute endorsement, guarantee or recommendation by Novadesko.
The User remains solely responsible for consulting and using any content originating from external sources.
Novadesko reserves the right to add, delete or modify at any time the Information and features available in the Application or on the Website, without prior notice. Novadesko may also adjust the access terms or structure of its Services at any time.
You must ensure that any person accessing the Services or Information through Your account is duly authorised to do so.
Access to the Services offered by Novadesko is reserved for natural persons aged at least 18 years, as well as legal entities duly registered with the Crossroads Bank for Enterprises. The use of the Application must exclusively take place within the context of a professional activity.
The Services are not necessarily available in all countries or in all languages. Their accessibility may vary depending on geographic location, local restrictions or applicable regulatory requirements.

The User acknowledges and accepts all technical limitations that may affect the use of the Application.
Novadesko may interrupt all or part of the Services, temporarily or permanently, without any obligation to provide prior notice. In the event of a permanent discontinuation of a paid Service, the User may be reimbursed for services not yet performed or for the remaining portion of their current subscription. No additional compensation may be claimed in the event of temporary or permanent interruption.
Some features require the creation of a user account. For this purpose, You will need to provide several pieces of information, visible and editable in Your settings. The nature of these data depends on Your status (natural person or legal entity) and the Services used.
To fully benefit from the Services, You must provide accurate, complete and up-to-date information. Any modification must be communicated or updated without delay. Novadesko reserves the right to suspend or delete any account containing inaccurate, incomplete or outdated information.
When registering, You must provide a valid email address and define Your Novadesko Credentials (username, password, PIN code…). These Credentials are strictly personal and their confidentiality is entirely Your responsibility. You must not disclose them to any third party, even trusted individuals.
In case of suspected fraudulent or unauthorized access, You agree to immediately notify Novadesko.
Novadesko uses all reasonable means to ensure continuous access to the Application and Services. However, for reasons of maintenance, updates, security, emergencies, or in cases of suspected fraud, Novadesko may suspend access without notice or compensation.
Even if Novadesko strives, when possible, to inform the User in advance, the absence of notification shall not entitle the User to any compensation.

Novadesko Credentials must be protected with the utmost care. The User agrees to comply with the following rules:
When You connect a banking service through the Application, Novadesko only accesses the data for which You have given explicit consent.

All official communications concerning the Services (notifications, contractual changes, alerts, technical information, etc.) may be sent to You:
Communications will be made in the language You selected when creating Your account.
You may request at any time that a copy of these Terms and Conditions be provided to You on a durable medium (such as PDF).
For Services subject to payment or subscription, the following rules apply:
Costs incurred for payment recovery remain the User’s responsibility.
The User may terminate their contract at any time. Unless otherwise provided by law, subscriptions already paid are non-refundable.
Some Services may include a free trial period. At the end of this period:
Novadesko is authorised to collect the amount corresponding to the selected plan. You may cancel the subscription at any time from Your user space.
You must use the Novadesko Application and the Services exclusively within the intended scope and for lawful activities. Any use intended to organise, facilitate or manage illegal projects may result in Novadesko taking any necessary legal action to remedy the damage suffered.
You agree to notify Novadesko without delay as soon as You suspect that Your Credentials have been compromised, disclosed to a third party or used without authorisation.
You are strictly prohibited from:
Any unauthorised use of the Services or Information, or any violation of these Terms or the law, engages Your liability and obliges You to compensate Novadesko for any direct or indirect damage suffered.
The Services rely on various technologies, including JavaScript, and require recent hardware, properly configured and free of viruses or malware. The User acknowledges that the compatibility of their equipment is essential for the proper functioning of the Services.
The Services include an automated data processing system. Any attempt at fraudulent access, intrusion, deletion, alteration or illicit insertion of data is strictly prohibited and exposes the perpetrator to civil and criminal sanctions.
Novadesko implements security measures that comply with market standards and are proportionate to the sensitivity of the data processed. However, given the inherent limitations of the Internet, Novadesko cannot guarantee absolute protection against all forms of attacks or intrusions.
If a breach is detected on Your account:
You must also take all reasonable precautions to secure Your own devices, data and software, including:
You are solely responsible for protecting Your equipment and data. You agree to indemnify Novadesko against any third-party claims related to unauthorised access resulting from Your negligence.
All elements contained in the Novadesko Application and on the Website (texts, images, logos, graphics, interfaces, sounds, videos, software, databases, etc.) are protected by applicable intellectual property laws.
These contents belong to Novadesko or to third parties who have authorised their use. It is prohibited to:
Novadesko reserves the right to initiate any legal action (injunctions, seizures, damages…) in case of violation of its rights.
Subject to compliance with these Terms and, where applicable, payment of the corresponding subscriptions, Novadesko grants You a personal, non-exclusive, non-transferable and non-sublicensable licence to install, display and use the Application on Your devices.

In case of non-payment of a subscription or violation of these Terms, Novadesko may immediately suspend or revoke the licence.
Your personal data is processed in accordance with Novadesko’s Privacy Policy, accessible from the Application and the website www.novadesko.com.

The commitments of Novadesko SRL under these Terms and Conditions are strictly limited to those stated herein. Novadesko cannot be held liable for any loss or damage — direct or indirect — including in particular costs, claims, expenses, fees, professional harm, business losses or any expense of any kind whatsoever, resulting notably from:

Novadesko assumes no responsibility for the content You upload, scan or import into the Application, nor for the results generated based on such content.
To the extent permitted by law, the total liability of Novadesko towards the User is strictly limited to a maximum amount of €5,000, covering all damages and claims combined.
This limitation applies regardless of the legal basis invoked (contractual, tort, negligence, etc.).
Although Novadesko makes every effort to provide reliable information and documents, no guarantee is given regarding:
The Application and its Services are provided “as is” and “as available”, without any explicit or implied warranty, including regarding quality, accuracy, performance, availability or suitability for a particular need.
No advice or information communicated by Novadesko shall be interpreted as an implicit warranty not provided for in these Terms.
Novadesko cannot be held liable for the content You enter Yourself in the Application (documents, photos, receipts, accounting data, etc.).
In the event of an interruption or failure of the Service, Novadesko will make every effort to restore the situation within a reasonable timeframe, without guaranteeing any specific delay.
This Contract is concluded for an indefinite period.
You may close Your account and stop using the Services at any time, with immediate effect. Except where required by law, subscriptions already paid are not refundable, and You remain liable for amounts due for Services already provided.
Novadesko may terminate the Contract or any Service, without any obligation to compensate, with one month’s notice.
Novadesko may also immediately suspend access or terminate the Contract without notice:
Upon termination, all granted licences automatically end. Clauses which by their nature survive termination (liability, intellectual property, etc.) remain fully applicable.
Any creation of a link to the Novadesko website must comply with the following rules:
Novadesko reserves the right to demand the immediate removal of any non-compliant link and to take any necessary action in case of non-compliance.
Novadesko may modify the Services or these Terms at any time. In the event of a significant change affecting Your rights, Novadesko will inform You in advance. If You refuse these modifications, You may close Your account without fees.
These Terms and Conditions are governed by Belgian law. Any dispute shall fall under the exclusive jurisdiction of the courts of Mons.
If any provision of these Terms is deemed null or unenforceable, the remaining provisions shall continue to apply in full.
